Validity of our purchase and payment conditions and exclusion of other conditions<\/h4>\n<p>Our purchase and payment conditions form the basis of all contracts and agreements. Our supplier accepts these conditions with confirmation of order or execution of his delivery. Deviating conditions of the supplier, which we do not accept explicitly in writing, are not binding for us under any circumstances, even if we do not object to them explicitly. Provided that we do not make any regulations in our purchase and payment conditions, the law applicable in the Federal Republic of Germany applies with respect to possible conditions of our supplier, except for the United Nations Convention on Contracts for the International Sale of Goods (CISG), whose validity we explicitly exclude.<\/p>\n<h4>2. Order and confirmation of order<\/h4>\n<p>Our orders are binding only if we issue these in writing or the confirmation in writing of orders through the supplier issued verbally by us is confirmed for our part in writing. SEICO reserves property rights and copyright to written documents, such as drawings and other documents. These documents must not be made accessible to third parties.<\/p>\n<p>Orders carried out by us are to be confirmed through the supplier immediately in writing. With confirmation through the supplier, these purchase and payment conditions applied by us are valid as being accepted by the supplier, regardless of individual specifications concerning the content of our order. Provided that the confirmation of order of the supplier deviates from our order, this is valid as a new application of the supplier which must be accepted by us explicitly in writing. Our lack of response does not imply approval under any circumstances.<\/p>\n<h4>3. Delivery time and claim for damages, as well as contractual penalty in case of delay<\/h4>\n<p>The delivery times communicated or arranged by us in case of orders are binding fixed schedules. We reserve the right to additionally issue a reminder and to thus induce delay of the supplier. A reminder can be dispensed with if the supplier refuses the service seriously or finally or for special reasons, taking into account the interests of both sides, the immediate inducement of the delay is justified.<\/p>\n<p>For every full calendar week which the supplier is in delay with the service to be provided to us (also for partial deliveries), we are entitled to demand a contractual penalty of 1% of the net order value of the supplied objects and to deduct this amount from the accounts receivable of the supplier. Our entitlement to demand contractual penalties exists regardless of our right to withdrawal and our right to discounts according to these conditions.<\/p>\n<p>In case of delay of the supplier we are authorised to resign from the contract following the issuing of an adequate notice period for the implementation of the delivery. The legal claims for compensation to which we are entitled remain unchanged by that.<\/p>\n<h4>4. Dispatch, transport, passage of risk and insurance<\/h4>\n<p>Provided nothing other has been arranged, all dispatches are to be delivered by the supplier free of charge to our works \/ storage facilities. In case of delivery through a forwarding agent (truck), carriage or similar compensation is at the expense of the supplier. If we should be compelled with respect to the forwarding agent, based on carriage or similar compensation, to make any advance payments, we can deduct these amounts from the payment for delivery.<\/p>\n<p>Packaging costs of the supplier are to be itemised separately in the bill and we are entitled to deduct the packaging costs on payment of the bill of the supplier if we return the packaging free of freight charges. The supplier is obliged (independently of the regulations in this agreement concerning the place of performance) to insure the goods free of charge to be supplied to us for transport against damage incurred during transit of all type (falling or degradation of the goods), in order to ensure our trouble-free supply. This is fulfilled only on transfer of the goods to us in the works \/ storage facilities.<\/p>\n<h4>5. Payment<\/h4>\n<p>Provided nothing other has been arranged, following receipt of the delivery in trouble-free status, according to our choice, we make payment within two weeks with deduction of 3% discount or after 90 calendar days net without deduction. Our payment is implemented always subject to reservation of an adjustment, if a complaint of the delivery should subsequently result which entitles us to a deduction in payment.<\/p>\n<h4>6. Deficiency claims because of material defects and deficiencies in title<\/h4>\n<p>The legal deficiency claims to subsequent fulfilment (replacement delivery or improvement repair) and the right to withdrawal, as well as the right to price-reduction after failure of the subsequent fulfilment and the right to demand compensation for damages, also in case of inclusion of futile expenditures, are subject to the statute of limitations at least two years from delivery of the goods to us in the works \/ storage facilities.<\/p>\n<p>The communication of the readiness to dispatch by the supplier or the issue of the goods for dispatch to us does not initiate statutory limitation periods as contractually arranged or stipulated by law for deficiency claims.<\/p>\n<p>The supplier vouches for the utilisation of the best and appropriate material, for proper construction and implementation corresponding to the general technical standards, as well as for trouble-free installation.<\/p>\n<p>If any deficiency should be determined in the goods supplied by the supplier in the course of the statutory limitation period for deficiency claims of at least two years, provided not arranged longer, we are entitled to subsequent fulfilment according to the legal rights of the German Civil Code (BGB) after failure of subsequent fulfilment, withdrawal or reduction, and to additional claims for damages.<\/p>\n<p>We object explicitly to every limitation of the liability of the supplier in case of intentional or grossly negligent behaviour by himself or his managerial employees and to the exclusion of legal liability regulations of the supplier for his employees, performance and completion assistants in the sense of the legal specifications.<\/p>\n<p>We are obliged to examine the goods in our works \/ storage facilities as far as this corresponds to proper transaction and to immediately report defects that are identifiable, as well as to report hidden deficiencies immediately following their subsequent discovery.<\/p>\n<p>In case of the replacement delivery and in case of improvement repair, the statutory limitation period of two years begins for deficiency claims (in case of another agreement a longer limitation period for deficiency claims) for the objects supplied as an alternative and\/or as far as the scope of the improvement repair suffices, with acceptance of the improvement repair or acceptance of the replacement goods.<\/p>\n<p>Regardless of legal stipulations concerning deficiency claims of the German Civil Code (BGB), and without limitation of our right to withdrawal (3. above), we are authorised to have produced through third parties any required repair works or required replacement deliveries in urgent cases, in order to avoid inappropriate economic disadvantages for us, in a manner we consider suitable, and to invoice the supplier with the costs arising from that.<\/p>\n<p>We are entitled at any time, in case of our claims from the entire business relation with the supplier, with respect to his claims, to offset payment for the goods supplied by him, independently of whether the supplier recognises our counter-claims or whether our counterclaims have been legally validated.<\/p>\n<p>If the use of the goods supplied by the supplier leads to violation of industrial property rights or copyrights or similar rights in Germany and internationally, the right to further use shall be provided to us by the supplier at his own expense, or the goods shall be modified in a manner acceptable for us in such a way that the violation of industrial property rights or copyrights in Germany and internationally does not exist any longer.<\/p>\n<p>If the removal of the violation of industrial property rights or copyrights or similar rights in Germany and internationally is not possible at conditions appropriate for us, we are entitled to withdraw from the contract.<\/p>\n<p>The supplier shall exempt us from claims of domestic or foreign holders of industrial property rights or copyrights or similar rights.<\/p>\n<h4>7. Product liability<\/h4>\n<p>In the event action is taken against us based on product liability, the supplier is obligated to indemnify us against such third-party claims if and to the extent such damage was caused by a defect in the items delivered by the supplier. In the event of fault-based liability, this shall apply only if the supplier is at fault.<\/p>\n<p>In the event sec. 9 applies, the supplier shall bear all costs and expenses including costs for any prosecution. Apart from that, legal stipulations apply.<\/p>\n<p>In the event of any recall campaign totally or partially based on a defect in a subject matter of contract delivered by supplier, we will notify the supplier, we will give him the opportunity to cooperate and will interact with him for efficient conduct of such recall campaign unless such supplier notification or cooperation is impossible due to exigent circumstances. To the extent such recall campaign is based on a defect in a subject matter of contract delivered by supplier, the supplier will bear the costs of such recall campaign.<\/p>\n<p>The supplier is obligated to take out a product liability insurance with adequate coverage and upon request to demonstrate the existence of such policy to us.<\/p>\n<h4>8. Assignment and pledging<\/h4>\n<p>The assignment or pledging of claims against us may be implemented by the supplier on a commercially legal basis only with our explicit, written approval<\/p>\n<h4>9. Processing, linking, mixing and reservation of ownership<\/h4>\n<p>The goods ordered by us with the supplier and supplied by same shall become our property generally through processing, linking, mixing or mixing in association with the manufacture of our products.<\/p>\n<p>We therefore do not recognise reservations of ownership of our suppliers under any circumstances. Our suppliers are obliged to inform us before the effective execution of the delivery if they themselves are not the owners of the goods supplied to us due to corresponding commercial-legal agreements with their contract partners. If the ownership of the goods supplied to us by our supplier should not be transferred to us with the delivery of the goods to us at our works \/ storage facilities, or through agreement of a ownership transfer relationship, we are entitled (if this circumstance becomes known to us) to resign from the contract without granting any period of time settlement and to demand back the purchase prices paid for the goods concerned or to withhold corresponding payment to the suppliers.<\/p>\n<p>We object to every clause of our suppliers, according to which we should be obliged to transfer to the supplier those claims arising from the further sale of the goods for the protection of the purchase price claim of the supplier. We are not prepared to carry out processing or reworking of goods subject to reservation of ownership for the supplier, and to transfer the joint ownership shares to the suppliers in case of processing, linking, mixing or mixing of reserved goods with our goods, or to guarantee such resulting goods for our supplier free of charge. We further object to every obligation of our suppliers to have goods subject to reservation of ownership insured against any damage at our costs.<\/p>\n<h4>10. Drawings and models<\/h4>\n<p>All drawings, calculations or models handed over to our suppliers for the implementation of orders remain our property and, at the latest, after implementation of the order and at any time on our requirement, to be returned immediately clear of all charges.<\/p>\n<h4>11. Compliance<\/h4>\n<p>The supplier shall observe all provisions on conflict minerals contained in Section 1502 of the Wall Street Reform and Consumer Protection Act (\u201eDodd-Frank Act\u201c). If material out of the group of conflict minerals is required for the production or the function of the products delivered by the supplier, the origin of the used materials must be assured.<\/p>\n<p>The supplier for services and work performances assures that he pays the full amount of the minimum wages to his employees in time and constantly. He also observes all further regulations of the minimum wage law. Furthermore he undertakes that instructed subcontractors will also meet the obligations of the minimum wage law. Upon customers request, the supplier has to prove the observance of the regulations regarding the minimum wage law.<\/p>\n<p>The supplier for services and work performances shall indemnify the purchaser against all claims of third parties (especially employees) on first request, based on a breach of his obligations regarding the minimum wage law or of the instructed subcontractors.<\/p>\n<p>The seller ensures the security within the supply chain (Supply Chain Security) and observes the corresponding legal requirements. The seller undertakes to provide reasonable evidence on request of the buyer, e.g. by certificates or declarations of conformity with the respectively valid EC regulations (eg 1907\/2006 \/ EC (REACH)) \/ EU directives (eg 2011\/65 \/ EU (RoHS)), as far as these were not already provided upon delivery of the product.<\/p>\n<p>The Supplier shall grant SEICO or any relevant notified body the right to perform all necessary actions to review the Supplier\u2019s processes insofar as they may affect the quality, safety, or conformity of the delivered products. This shall include, without limitation, access to relevant processes, documentation, and inspection records, as well as entry to the production facilities upon prior notice. The Supplier shall further ensure that its subcontractors comply with these requirements and permit with this reviews.<\/p>\n<h4>12. Deviating agreements<\/h4>\n<p>Deviations from these conditions require an explicit written agreement for their validity.<\/p>\n<h4>13. Place of performance and place of jurisdiction and applicable legal \/ severability clause<\/h4>\n<p>The location of our headquarters is place of performance for all obligations arising from the contractual relationship between us and the supplier.<\/p>\n<p>The place of jurisdiction for all legal disputes arising from the contractual relationship, as well as arising concerning its origin and its effectiveness, is determined by the location of our headquarters, however, it is our choice to also make our claims legally applicable at the location of the headquarters of the supplier, regardless of existing legal places of jurisdiction. The contractual relationship to our supplier is subject to the law of the Federal Republic of Germany (except for the UN United Nations Convention on Contracts for the International Sale of Goods (CISG)). If individual stipulations of this condition should not be effective, these legal provisions replace them.<\/p>\n<p>If individual stipulations of the contract between us and the supplier, including these conditions, should be, or should become, ineffective, completely or in part, the validity of the remaining stipulations is not affected by that. The wholly or in-part ineffective regulation should be replaced by a regulation whose economical result comes closest to the result targeted by the ineffective regulation.<\/p>\n<h4>14. Data Protection Information for Contact Persons of Our Suppliers<\/h4>\n<p>(1) Controller: The controller responsible for processing personal data within the scope of the business relationship is SEICO Heizungen GmbH, An der Autobahn 29, 30851 Langenhagen, Germany.<\/p>\n<p>\u00a0(2) Contact details of the Data Protection Officer: datenschutzbeauftragter@datenschutzexperte.de (email)<\/p>\n<p>(3) Purposes and Legal Basis of Processing: We process personal data of contact persons of our suppliers (e.g., name, business contact details, position) for the purpose of initiating, conducting, and processing the business relationship, including communication, order processing, delivery coordination, and fulfillment of legal obligations. The legal bases for this are Art. 6 para. 1 lit. b DSGVO (contract\/pre-contractual measures), Art. 6 para. 1 lit. c DSGVO (legal obligations), and Art. 6 para. 1 lit. f DSGVO (legitimate interest in efficient business processing).<\/p>\n<p>(4) Recipients of the Data: Within our company, only those departments that require access to personal data to fulfill the aforementioned purposes have access to it. External recipients may include, in particular:<\/p>\n<ul>\n<li>IT service providers for the maintenance and operation of our systems<\/li>\n<li>Logistics and transport service providers<\/li>\n<li>Public authorities in accordance with legal obligations.<\/li>\n<\/ul>\n<p>Data will not be disclosed to other third parties unless there is a legal obligation to do so.<\/p>\n<p>(5) Transfer to third countries: Data will only be transferred to countries outside the EU\/EEA if an adequate level of data protection exists or if appropriate safeguards are in place in accordance with Articles 44 et seq. DSGVO.<\/p>\n<p>(6) Storage period: Personal data will be stored for the duration of the business relationship and subsequently archived or deleted in accordance with statutory retention periods (in particular according to the German Commercial Code (HGB) and the German Fiscal Code (AO)).<\/p>\n<p>(7) Rights of data subjects: Data subjects have the right to information, rectification, erasure, restriction of processing, objection, and the right to lodge a complaint with a data protection supervisory authority. An objection to processing may be made, in particular, if it is based on Article 6(1)(f) DSGVO.<\/p>\n<p>(8) Obligation to provide data: The provision of personal data is necessary for the performance of the business relationship. Geltung unserer Einkaufs- und Zahlungsbedingungen und Ausschluss anderweitiger Bedingungen:<\/h4>\n<p>Allen Vertr\u00e4gen und Vereinbarungen liegen unsere Einkaufs- und Zahlungsbedingungen zugrunde. Unser Lieferant erkennt diese Bedingungen durch Auftragsbest\u00e4tigung oder Ausf\u00fchrung seiner Lieferung an. Abweichende Bedingungen des Lieferanten, die wir nicht ausdr\u00fccklich schriftlich anerkennen, sind f\u00fcr uns keinesfalls verbindlich, auch wenn wir ihnen nicht ausdr\u00fccklich widersprechen. Sofern wir keine Regelungen in unseren Einkaufs- und Zahlungsbedingungen treffen, gilt entgegen etwaiger Bedingungen unseres Lieferanten das im Bereich der Bundesrepublik Deutschland geltend Recht mit Ausnahme des Einheitlichen UN-Kaufrechts (CISG), dessen Geltung wir ausdr\u00fccklich ausschlie\u00dfen.<\/p>\n<h4>2. Bestellung und Auftragsbest\u00e4tigung<\/h4>\n<p>Unsere Bestellungen sind nur verbindlich, wenn wir sie schriftlich erteilen oder die schriftliche Best\u00e4tigung m\u00fcndlich von uns erteilter Bestellungen durch den Lieferanten unsererseits schriftlich best\u00e4tigt wird. SEICO beh\u00e4lt sich an schriftlichen Unterlagen, wie Zeichnungen und anderen Unterlagen, Eigentums- und Urheberrechte vor. Diese Unterlagen d\u00fcrfen Dritten nicht zug\u00e4nglich gemacht werden.<\/p>\n<p>Von uns vorgenommene Auftr\u00e4ge sind durch den Lieferanten unverz\u00fcglich schriftlich zu best\u00e4tigen. Mit der Best\u00e4tigung durch den Lieferanten gelten diese von uns verwendeten Einkaufs- und Zahlungsbedingungen vom Lieferanten als anerkannt, unbeschadet individueller Vorgaben \u00fcber den Inhalt unseres Auftrages. Sofern die Auftragsbest\u00e4tigung des Lieferanten von unserem Auftrag abweicht, gilt dies als neuer Antrag des Lieferanten, der von uns ausdr\u00fccklich schriftlich angenommen werden muss. Unser Schweigen gilt keinesfalls als Zustimmung.<\/p>\n<h4>3. Lieferzeit und Schadenersatz sowie Vertragsstrafe bei Verzug<\/h4>\n<p>Die von uns bei Auftr\u00e4gen mitgeteilten oder vereinbarten Lieferzeiten sind verbindliche Fixtermine. Das Recht zus\u00e4tzlich zu mahnen und damit Verzug des Lieferanten herbeizuf\u00fchren behalten wir uns vor. Eine Mahnung ist entbehrlich, wenn der Lieferant die Leistung ernsthaft oder endg\u00fcltig verweigert oder aus besonderen Gr\u00fcnden, unter Abw\u00e4gung der beiderseitigen Interessen, der sofortige Eintritt des Verzugs gerechtfertigt ist.<\/p>\n<p>F\u00fcr jede volle Kalenderwoche, die der Lieferant mit der an uns zu bewirkenden Leistung (auch f\u00fcr Teillieferungen) in Verzug ist, sind wir berechtigt, eine Vertragsstrafe in H\u00f6he von 1 % des Nettobestellwertes der betroffenen Liefergegenst\u00e4nde zu verlangen und diesen Betrag von Forderungen des Lieferanten abzuziehen. Unsere Berechtigung, Vertragsstrafe zu verlangen besteht unbeschadet unseres R\u00fccktrittsrechts und unsere Berechtigung nach diesen Bedingungen Skonto in Abzug zu bringen.<\/p>\n<p>Bei Verzug des Lieferanten sind wir berechtigt, nach Setzung einer angemessenen Frist zur Ausf\u00fchrung der Lieferung vom Vertrag zur\u00fcckzutreten. Die uns zustehenden gesetzlichen Schadenersatzanspr\u00fcche bleiben hiervon unber\u00fchrt.<\/p>\n<h4>4. Versand, Transport, Gefahr\u00fcbergang und Versicherung<\/h4>\n<p>Soweit nichts anderes vereinbart, sind s\u00e4mtliche Sendungen frei an unser Werk\/Lager vom Lieferanten anzuliefern. Bei Anlieferung durch Spediteur (Lkw) geht Rollgeld oder \u00e4hnlicher Verg\u00fctung zu Lasten des Lieferanten. Sollten wir gegen\u00fcber dem Spediteur wegen Rollgeld oder \u00e4hnlicher Verg\u00fctung gen\u00f6tigt sein in Vorlage zu treten, k\u00f6nnen wir bei der Bezahlung der Lieferung diese Betr\u00e4ge in Abzug bringen.<\/p>\n<p>Verpackungskosten des Lieferanten sind getrennt in der Rechnung aufzuf\u00fchren, wir sind berechtigt, die Verpackungskosten bei der Bezahlung der Rechnung des Lieferanten abzuziehen, wenn wir frachtfrei die Verpackung zur\u00fccksenden.<\/p>\n<p>Der Lieferant ist verpflichtet &#8211; unabh\u00e4ngig der in dieser Vereinbarung getroffenen Regelung \u00fcber den Erf\u00fcllungsort &#8211; die an uns zu liefernde Ware f\u00fcr den Transport gegen Transportsch\u00e4den aller Art (Untergang oder Verschlechterung der Ware) f\u00fcr uns kostenfrei zu versichern, um unsere einwandfreie Belieferung sicherzustellen. Erf\u00fcllt wird erst mit \u00dcbergabe der Ware bei uns im Werk\/Lager.<\/p>\n<h4>5. Zahlung<\/h4>\n<p>Wenn nichts anderes vereinbart, zahlen wir nach Eingang der Lieferung in einwandfreiem Zustand nach unserer Wahl unter Abzug von 3 % Skonto innerhalb zwei Wochen oder nach 90 Kalendertagen netto ohne Abzug. Unsere Zahlung erfolgt stets unter dem Vorbehalt einer Berichtigung, falls sich nachtr\u00e4glich eine Beanstandung der Lieferung ergeben sollte, die uns zur K\u00fcrzung von Zahlungen berechtigt.<\/p>\n<h4>6. M\u00e4ngelanspr\u00fcche wegen Sach- und Rechtsm\u00e4ngel<\/h4>\n<p>Die gesetzlichen M\u00e4ngelanspr\u00fcche auf Nacherf\u00fcllung (Ersatzlieferung oder Nachbesserung) und das R\u00fccktrittsrecht sowie das Minderungsrecht nach Fehlschlagen der Nacherf\u00fcllung und das Recht Schadenersatz, auch unter Einschluss vergeblicher Aufwendungen zu verlangen, verj\u00e4hren mindestens in zwei Jahren ab Ablieferung der Ware bei uns im Werk\/Lager. Die Mitteilung der Versandbereitschaft durch den Lieferanten oder die Aufgabe der Ware zum Versand an uns setzt den Lauf vertraglich vereinbarter oder gesetzlich festgelegter Verj\u00e4hrungsfristen f\u00fcr M\u00e4ngelanspr\u00fcche nicht in Gang.<\/p>\n<p>Der Lieferant steht f\u00fcr die Verwendung des besten, zweckentsprechenden Materials, sachgerechte und dem allgemein technischen Standard entsprechende Konstruktion und Ausf\u00fchrung sowie einwandfreie Montage ein.<\/p>\n<p>Sollte im Lauf der Verj\u00e4hrungsfrist f\u00fcr M\u00e4ngelanspr\u00fcche von mindestens zwei Jahren, soweit nicht l\u00e4nger vereinbart, ein Mangel der vom Lieferanten gelieferten Ware festgestellt werden, stehen uns die gesetzlichen Rechte nach dem B\u00fcrgerlichen Gesetzbuch (BGB) auf Nacherf\u00fcllung, nach Fehlschlagen der Nacherf\u00fcllung R\u00fccktritt oder Minderung und zus\u00e4tzlich auf Schadenersatz zu.<\/p>\n<p>Wir widersprechen ausdr\u00fccklich jeder Beschr\u00e4nkung der Haftung des Lieferanten auf vors\u00e4tzliches oder grob fahrl\u00e4ssiges Verhalten seiner selbst oder seiner leitenden Angestellten und dem Ausschluss gesetzlicher Haftungsvorschriften des Lieferanten f\u00fcr seine Angestellten, Verrichtungs- und Erf\u00fcllungsgehilfen im Sinne der gesetzlichen Vorschriften.<\/p>\n<p>Wir sind verpflichtet, die Ware, soweit es dem ordnungsgem\u00e4\u00dfen Gesch\u00e4ftsgang bei uns im Werk\/Lager entspricht, zu untersuchen und M\u00e4ngel, die erkennbar sind, alsbald sowie versteckte M\u00e4ngel unverz\u00fcglich nach deren Entdeckung zu melden.<\/p>\n<p>Im Falle der Ersatzlieferung und im Falle der Nachbesserung beginnt die Verj\u00e4hrungsfrist f\u00fcr M\u00e4ngelanspr\u00fcche von zwei Jahren &#8211; im Falle anderweitiger Vereinbarung eine l\u00e4ngere Verj\u00e4hrungsfrist f\u00fcr M\u00e4ngelanspr\u00fcche &#8211; f\u00fcr die ersatzweise gelieferten Gegenst\u00e4nde und\/oder soweit der Umfang der Nachbesserung reicht, mit Abnahme der Nachbesserung oder Annahme der Ersatzware von neuem.<\/p>\n<p>Unbeschadet gesetzlicher Vorschriften \u00fcber M\u00e4ngelanspr\u00fcche des B\u00fcrgerlichen Gesetzbuches (BGB) und unbeschr\u00e4nkt unseres R\u00fccktrittsrechts (oben 3.) sind wir berechtigt, in dringenden F\u00e4llen, zur Vermeidung unangemessener wirtschaftlicher Nachteile f\u00fcr uns, erforderliche Instandsetzungsarbeiten oder erforderliche Ersatzlieferung in uns geeignet erscheinender Weise durch Dritte zu bewirken und die dadurch entstehenden Kosten dem Lieferanten in Rechnung zu stellen.<\/p>\n<p>Wir sind jederzeit berechtigt mit unseren Anspr\u00fcchen aus der gesamten Gesch\u00e4ftsbeziehung zum Lieferanten gegen\u00fcber dessen Anspr\u00fcchen auf Bezahlung der von ihm gelieferten Ware aufzurechnen, unabh\u00e4ngig davon, ob der Lieferant unsere Gegenanspr\u00fcche anerkennt oder wir gezwungen sind unsere Gegenanspr\u00fcche gerichtlich feststellen zu lassen.<\/p>\n<p>F\u00fchrt die Benutzung der vom Lieferanten gelieferten Ware zur Verletzung von gewerblichen Schutzrechten oder Urheberrechten oder \u00e4hnlichen Rechten im In- und Ausland, wird der Lieferant auf seine Kosten uns das Recht zum weiteren Gebrauch verschaffen oder die Ware in einer f\u00fcr uns zumutbaren Weise derart modifizieren, dass die Verletzung von Schutzrechten oder Urheberrechten im In- und Ausland nicht mehr besteht.<\/p>\n<p>Ist die Beseitigung der Verletzung von gewerblichen Schutzrechten oder Urheberrechten oder \u00e4hnlichen Rechten im In- und Ausland zu uns angemessenen Bedingungen nicht m\u00f6glich, sind wir zum R\u00fccktritt vom Vertrag berechtigt.<\/p>\n<p>Der Lieferant wird uns von Anspr\u00fcchen in- und ausl\u00e4ndischer Inhaber von gewerblichen Schutzrechten oder Urheberrechten oder \u00e4hnlichen Rechten freistellen.<\/p>\n<h4>7. Produkthaftung<\/h4>\n<p>F\u00fcr den Fall, dass wir aufgrund eines Produkthaftungsfalles in Anspruch genommen werden, ist der Lieferant verpflichtet, uns von derartigen Anspr\u00fcchen Dritter freizustellen, wenn und soweit der Schaden durch einen Fehler des vom Lieferanten gelieferten Liefergegenstandes verursacht worden ist. Dies gilt im Falle verschuldensabh\u00e4ngiger Haftung nur dann, wenn den Lieferanten ein Verschulden trifft.<\/p>\n<p>Der Lieferant \u00fcbernimmt in den F\u00e4llen der Ziffer 9 alle Kosten und Aufwendungen, einschlie\u00dflich der Kosten einer etwaigen Rechtsverfolgung.<\/p>\n<p>Im \u00dcbrigen gelten die gesetzlichen Bestimmungen.<\/p>\n<p>Vor einer R\u00fcckrufaktion, die ganz oder teilweise Folge eines Mangels des vom Lieferanten gelieferten Vertragsgegenstandes ist, werden wir den Lieferanten unterrichten, ihm die M\u00f6glichkeit zur Mitwirkung geben und uns mit ihm \u00fcber eine effiziente Durchf\u00fchrung austauschen, es sei denn, die Unterrichtung oder Beteiligung des Lieferanten ist wegen besonderer Eilbed\u00fcrftigkeit nicht m\u00f6glich. Soweit eine R\u00fcckrufaktion Folge eines Mangels des vom Lieferanten gelieferten Vertragsgegenstandes ist, tr\u00e4gt der Lieferant die Kosten der R\u00fcckrufaktion.<\/p>\n<p>Der Lieferant ist verpflichtet, eine Produkthaftpflichtversicherung mit angemessener Deckungssumme zu unterhalten und dies auf Verlangen von uns nachzuweisen.<\/p>\n<h4>8. Abtretung und Verpf\u00e4ndung<\/h4>\n<p>Die Abtretung oder Verpf\u00e4ndung von Forderungen an uns darf auf rechtsgesch\u00e4ftlichem Wege durch den Lieferanten nur mit unserer ausdr\u00fccklichen schriftlichen Zustimmung erfolgen.<\/p>\n<h4>9. Verarbeitung, Verbindung, Vermischung und Eigentumsvorbehalt<\/h4>\n<p>Die von uns beim Lieferanten bestellten und von diesem gelieferten Waren werden in der Regel durch Verarbeitung, Verbindung, Vermischung oder Vermengung im Zusammenhang mit der Herstellung unserer Erzeugnisse unser Eigentum.<\/p>\n<p>Wir erkennen Eigentumsvorbehalte unserer Lieferanten deswegen in keinem Fall an. Unsere Lieferanten verpflichten sich uns vor Bewirkung der Lieferung mitzuteilen, wenn sie selbst nicht Eigent\u00fcmer der an uns gelieferten Waren aufgrund entsprechender rechtsgesch\u00e4ftlicher Vereinbarungen mit ihren Vertragspartnern sind.<\/p>\n<p>Wenn das Eigentum der von unserem Lieferanten an uns gelieferten Ware mit der Ablieferung der Ware bei uns im Werk\/Lager oder durch Vereinbarung eines Besitzmittlungsverh\u00e4ltnis auf uns nicht \u00fcbergehen sollte, sind wir &#8211; wenn uns dieser Umstand bekannt wird &#8211; ohne jede Fristsetzung berechtigt, vom Vertrag zur\u00fcckzutreten und etwa von uns auf die betroffene Ware gezahlte Kaufpreise zur\u00fcckzufordern oder entsprechende Zahlung an den Lieferanten zur\u00fcckzuhalten.<\/p>\n<p>Wir widersprechen jeder Klausel unserer Lieferanten, wonach wir verpflichtet werden sollen, Forderungen aus der Weiterver\u00e4u\u00dferung der Ware zur Sicherung der Kaufpreisforderung des Lieferanten an diesen abzutreten. Wir sind nicht bereit Be- oder Verarbeitung unter Eigentumsvorbehalt stehender Ware f\u00fcr den Lieferanten vorzunehmen und dem Lieferanten Miteigentumsanteile f\u00fcr bei Verarbeitung, Verbindung, Vermischung oder Vermengungen von Vorbehaltsware mit unseren Waren zu \u00fcbertragen oder f\u00fcr unseren Lieferanten so entstandene Ware unentgeltlich zu verwahren. Wir widersprechen im \u00dcbrigen jeder Verpflichtung unserer Lieferanten, unter Eigentumsvorbehalt stehende Ware auf unsere Kosten gegen irgendwelche Sch\u00e4den versichern zu lassen.<\/p>\n<h4>10. Zeichnung und Modelle<\/h4>\n<p>Alle zur Ausf\u00fchrung von Bestellungen an unsere Lieferanten \u00fcberlassene Zeichnungen, Berechnungen oder Modelle bleiben unser Eigentum und sind sp\u00e4testens nach Ausf\u00fchrung des Auftrages und jederzeit auf unsere Anforderung unverz\u00fcglich kostenfrei zur\u00fcckzugeben.<\/p>\n<h4>11. Regelkonformit\u00e4t<\/h4>\n<p>Der Lieferant verpflichtet sich zur Einhaltung der in Section 1502 des \u201eWall Street Reform and Consumer Protection Act\u201c (\u201eDodd-Frank Act\u201c) festgelegten Bestimmungen \u00fcber Konfliktmineralien (&#8220;conflict minerals\u201c). Sollten als Konfliktmineralien angesehene Rohstoffe im Rahmen der Herstellung oder f\u00fcr die Funktion der vom Lieferanten gelieferten Produkte erforderlich sein, ist deren Herkunft sicherzustellen.<\/p>\n<p>Der Lieferant f\u00fcr Dienst- und Werkleistungen sichert zu, dass er rechtzeitig, in voller H\u00f6he und stetig den Mindestlohn an seine Arbeitnehmer zahlt und die weiteren Regelungen des MiLOG einh\u00e4lt. Er verpflichtet sich ferner, dass von ihm beauftragte Nach- und Subunternehmer ebenfalls den Verpflichtungen aus dem MiLOG nachkommen. Auf Verlangen des Bestellers wird der Lieferant die Einhaltung der Regelungen des MiLOG durch geeignete Unterlagen nachweisen.<\/p>\n<p>Der Lieferant f\u00fcr Dienst- und Werksleistungen stellt den Besteller von allen Anspr\u00fcchen Dritter (insbesondere Arbeitnehmer) auf erstes Anfordern frei, die auf einer Verletzung der seiner Verpflichtung\/-en aus dem MiLOG oder der von ihm beauftragten Nach- und Subunternehmer beruhen.<\/p>\n<p>Der Verk\u00e4ufer gew\u00e4hrleistet die Sicherheit innerhalb der Lieferkette (Supply Chain Security) und beachtet entsprechende rechtliche Anforderungen. Der Verk\u00e4ufer verpflichtet sich, auf Anfrage des K\u00e4ufers angemessene Nachweise, z. B. durch Zertifikate oder Erkl\u00e4rungen zur Konformit\u00e4t mit den jeweils g\u00fcltigen EG-Verordnungen (z. B. 1907\/2006\/EG (REACH)) \/ EU-Richtlinien (z. B. 2011\/65\/EU (RoHS)) zu erbringen, soweit diese nicht bereits bei Lieferung des Produktes bereitgestellt wurden.<\/p>\n<p>Der Lieferant erm\u00e4chtigt\u00a0SEICO oder eine relevante benannte Stelle, alle erforderlichen Ma\u00dfnahmen zu erm\u00f6glichen, die eine \u00dcberpr\u00fcfung der Arbeitsabl\u00e4ufe des Lieferanten zulassen, soweit diese die Qualit\u00e4t, Sicherheit oder Konformit\u00e4t der gelieferten Produkte beeinflussen k\u00f6nnen. Dies umfasst insbesondere die Einsicht in relevante Prozesse, Dokumentationen und Pr\u00fcfungen sowie den Zugang zu den Produktionsst\u00e4tten nach vorheriger Ank\u00fcndigung. Der Lieferant stellt sicher, dass auch seine Unterlieferanten diese \u00dcberpr\u00fcfungen zulassen.<\/p>\n<h4>12. Abweichende Vereinbarungen<\/h4>\n<p>Abweichungen von diesen Bedingungen bed\u00fcrfen zu ihrer G\u00fcltigkeit einer ausdr\u00fccklichen schriftlichen Vereinbarung.<\/p>\n<h4>13. Erf\u00fcllungsort und Gerichtsstand und anwendbares Recht\/Salvatorische Klausel<\/h4>\n<p>Erf\u00fcllungsort f\u00fcr alle Verpflichtungen aus dem Vertragsverh\u00e4ltnis zwischen uns und dem Lieferanten ist unser Sitz.<\/p>\n<p>Der Gerichtsstand f\u00fcr alle aus dem Vertragsverh\u00e4ltnis sowie \u00fcber sein Entstehen und seine Wirksamkeit entstehenden Rechtsstreitigkeiten wird durch unseren Sitz bestimmt, es steht uns aber frei unsere Anspr\u00fcche gerichtlich auch am Sitz des Lieferanten geltend zu machen, unbeschadet bestehender gesetzlicher Gerichtsst\u00e4nde.<\/p>\n<p>Das Vertragsverh\u00e4ltnis zu unserem Lieferanten unterliegt dem Recht der Bundesrepublik Deutschland (mit Ausnahme des Einheitlichen UN-Kaufrechts (CISG)). Sollten einzelne Bestimmungen dieser Bedingung nicht wirksam sein, treten an ihre Stelle diese Rechtsvorschriften.<\/p>\n<p>Sollten einzelne Bestimmungen des Vertrages zwischen uns und dem Lieferanten einschlie\u00dflich dieser Bedingungen ganz oder teilweise unwirksam sein oder werden, so wird hierdurch die G\u00fcltigkeit der \u00fcbrigen Bestimmungen nicht ber\u00fchrt.<\/p>\n<p>Die ganz oder teilweise unwirksame Regelung soll durch eine Regelung ersetzt werden, deren wirtschaftliches Ergebnis dem mit der unwirksamen Regelung angestrebten Ergebnis m\u00f6glichst nahe kommt.<\/p>\n<h4>14. Name, gesch\u00e4ftliche Kontaktdaten, Funktion) zum Zweck der Anbahnung, Durchf\u00fchrung und Abwicklung der Gesch\u00e4ftsbeziehung, einschlie\u00dflich Kommunikation, Bestellabwicklung, Lieferkoordination sowie Erf\u00fcllung gesetzlicher Pflichten. Rechtsgrundlagen hierf\u00fcr sind Art. 6 Abs. 1 lit. b DSGVO (Vertrag\/Vertragsanbahnung), Art. 6 Abs. 1 lit. c DSGVO (gesetzliche Verpflichtungen) sowie Art. 6 Abs. 1 lit. f DSGVO (berechtigtes Interesse an effizienter Gesch\u00e4ftsabwicklung).<\/p>\n<p>(4) Empf\u00e4nger der Daten: Innerhalb unseres Unternehmens erhalten nur diejenigen Stellen Zugriff auf personenbezogene Daten, die diese zur Erf\u00fcllung der genannten Zwecke ben\u00f6tigen. Externe Empf\u00e4nger k\u00f6nnen insbesondere sein:<\/p>\n<ul>\n<li>IT\u2011Dienstleister im Rahmen von Wartung und Betrieb unserer Systeme<\/li>\n<li>Logistik\u2011 und Transportdienstleister<\/li>\n<li>Beh\u00f6rden im Rahmen gesetzlicher Verpflichtungen.<\/li>\n<\/ul>\n<p>\u00a0Eine Weitergabe an sonstige Dritte erfolgt nicht, sofern keine gesetzliche Verpflichtung besteht.<\/p>\n<p>(5) Drittland\u00fcbermittlung: Eine \u00dcbermittlung in Staaten au\u00dferhalb der EU\/des EWR findet nur statt, wenn hierf\u00fcr ein angemessenes Datenschutzniveau besteht oder geeignete Garantien gem\u00e4\u00df Art. 44 ff.
